1. ACCEPTANCE OF TERMS

By accessing or using Expert Agent (the "Service"), operated by www.ScholarForce.com ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an institution or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree, you must cease use of the Service immediately.

2. THE SERVICE & AI DISCLAIMER

Expert Agent is an AI-powered research assistant. You acknowledge the following:

  • AI Nature: The Service generates content using Large Language Models (LLMs). While highly advanced, AI may occasionally produce inaccurate, biased, or "hallucinated" information.
  • User Responsibility: You are solely responsible for fact-checking and verifying the accuracy, completeness, and academic validity of any output generated by the Service before publication or submission.
  • Not Professional Advice: Content generated is for research and drafting purposes only and does not constitute legal, medical, or professional advice.

3. USER ACCOUNTS

  • Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
  • Security: You are responsible for safeguarding your credentials. Any activity under your account is your legal responsibility.
  • Accuracy: You must provide current and valid information during registration.

4. INTELLECTUAL PROPERTY RIGHTS

  • Company Property: The Expert Agent platform, including its proprietary algorithms, code, interface design, logos, and "ra.ScholarForce.com" branding, are the exclusive property of the Company.
  • User Content: You retain all ownership rights to the original text and data you input ("Prompts").
  • AI-Generated Output: Subject to your compliance with these Terms and payment of applicable fees, we assign to you all our right, title, and interest in and to the Outputs generated by the AI based on your Prompts. You are responsible for ensuring that your use of the Output does not violate third-party rights or academic policies.

5. ACADEMIC INTEGRITY & PROHIBITED USE

You agree NOT to use the Service to:

  • Plagiarism: Generate content that violates the academic integrity policies of your institution or publisher.
  • Deception: Misrepresent AI-generated text as entirely human-authored if such representation violates specific external requirements.
  • Reverse Engineering: Attempt to extract the underlying source code or model weights of Expert Agent.
  • Abuse: Use the Service to generate hate speech, malware, or defamatory content.
  • Scraping: Use automated bots to scrape data from the platform without written consent.

6. PAYMENTS, SUBSCRIPTIONS, AND REFUNDS

  • Billing: Fees are billed in advance based on your selected plan.
  • Changes: We reserve the right to modify pricing with 30 days' notice.
  • Refund Policy: All purchases are final and non-refundable due to the immediate costs associated with AI processing power. If you are a consumer in the EU/UK, you may have statutory withdrawal rights during the first 14 days, provided you have not yet utilized the AI generation credits.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law, www.ScholarForce.com shall not be liable for:

  • Inaccuracies in AI-generated content.
  • Academic or professional disciplinary actions taken against you.
  • Loss of data or research.

Cap on Liability: In no event shall our total liability exceed the amount you paid us in the twelve (12) months preceding the claim.

8. INDEMNIFICATION

You agree to indemnify and hold harmless the Company and its affiliates from any claims, damages, or legal fees arising from:

  1. Your violation of these Terms.
  2. Your infringement of third-party intellectual property.
  3. Your use of AI-generated content in a manner that violates academic or professional standards.

9. TERMINATION

We may suspend or terminate your account at our sole discretion for:

  • Violation of these Terms.
  • Failure to pay subscription fees.
  • Actions that threaten the security or integrity of our systems.

10. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of HONGKONG, SAR.

  • Arbitration: Any disputes shall be resolved through binding arbitration rather than in court, except for small claims court if applicable.
